These Terms and Conditions govern your access to and use of LiveDVR Inc. websites, software, media players, APIs, hosted broadcast services, SDKs, cloud tools, and related products.

1. Acceptance of Terms

By accessing or using LiveDVR Inc. services, you agree to these Terms and Conditions and our Privacy Policy. If you do not agree, you must not use the services.

If you use the services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2. Our Services

LiveDVR Inc. provides technology for digital media, linear broadcasting, electronic program guides, media players, APIs, remote-control systems, cloud studio tools, hosted broadcast portals, software development kits, and related services.

We may update, modify, suspend, discontinue, or replace features at any time as part of normal product development, maintenance, security, business operations, or legal compliance.

3. Accounts and Access

  • You are responsible for the accuracy of information you provide.
  • You are responsible for maintaining the confidentiality of your account credentials, API keys, access links, and administrative tools.
  • You must notify us promptly of suspected unauthorized access or security incidents.
  • We may suspend or terminate access if we believe your use violates these Terms, creates security risk, or may harm LiveDVR Inc., our customers, partners, or the public.

4. Customer Content and Media Rights

You are solely responsible for all content, media, data, playlists, logos, graphics, metadata, links, schedules, streams, files, and materials you upload, submit, broadcast, distribute, or configure through the services.

You represent and warrant that you own or have all necessary rights, licenses, permissions, releases, and clearances for your content and for the way you use it through the services.

LiveDVR Inc. does not grant you rights to third-party music, video, images, trademarks, personalities, broadcasts, channels, platforms, or other protected materials.

5. Limited License to Use the Services

Subject to your compliance with these Terms and any applicable order, subscription, license, or service agreement, LiveDVR Inc. grants you a limited, non-exclusive, non-transferable, revocable right to access and use the services for lawful business or personal purposes.

No ownership rights are transferred to you except as expressly stated in a separate written agreement signed by LiveDVR Inc.

6. Orders, Fees, Billing, and Refunds

Paid services may require fees, subscriptions, setup costs, usage charges, hosting charges, license fees, or other payments. Payment terms will be shown at checkout, in an invoice, order form, subscription page, or separate written agreement.

Unless otherwise stated in writing, fees are non-refundable once services, setup, hosting, software access, or digital delivery has begun.

7. Prohibited Uses

  • Do not use the services for unlawful, infringing, deceptive, abusive, harmful, or unauthorized purposes.
  • Do not attempt to reverse engineer, bypass, copy, scrape, overload, disrupt, or compromise the services.
  • Do not upload or distribute content that violates intellectual property, privacy, publicity, contractual, or other legal rights.
  • Do not use the services to transmit malware, spam, phishing content, or malicious code.
  • Do not resell, sublicense, or commercially exploit the services except as expressly permitted in a written agreement.

8. Intellectual Property

LiveDVR Inc. and its licensors retain all rights, title, and interest in and to the services, software, source code, object code, APIs, designs, interfaces, workflows, documentation, trademarks, logos, trade names, inventions, know-how, and other intellectual property.

You retain ownership of your own content, subject to the rights you grant us to host, process, display, transmit, store, back up, and otherwise operate that content as necessary to provide the services.

9. Disclaimers

The services are provided “as is” and “as available” unless a separate written agreement states otherwise. We do not guarantee uninterrupted operation, error-free performance, compatibility with every device or platform, continuous availability of third-party sources, or that every feature will meet every use case.

10. Limitation of Liability

To the maximum extent permitted by law, LiveDVR Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, content claims, licensing disputes, or third-party platform failures.

Our total liability for any claim related to the services will not exceed the amount you paid to LiveDVR Inc. for the specific service giving rise to the claim during the twelve months before the event giving rise to liability, unless applicable law requires otherwise.
